Dividend Policy & Payment
Muze Innovation Company Limited (the “Company”) has established a dividend payment policy for the best benefits for shareholders and the Company. The Board of Directors may consider to pay an annual dividend payment, which must be approved by the shareholders’ meeting, except in cases of interim dividends, which the Board of Directors has the authority to approve from time to time when the Company has sufficient profits to justify the payment. In such cases, the Board shall report the interim dividend payment to the shareholders at the next general meeting.
The Company has a policy to pay dividends payment to shareholders not less than [40 percent] of the net profit based on the separate financial statement, after deducting corporate income tax and all statutory and Company-mandated reserves for each fiscal year, as well as any obligations under loan agreements (if any). However, the Board of Directors may determine a dividend payment rate different from the stipulated rate, taking into consideration various factors for the best benefit of the shareholders, such as economic conditions, the Company’s operational performance and financial position, cash flow, future investment plans, debt repayment obligations, working capital requirements, restrictions under loan agreements, and ensuring that dividend payment does not materially affect the Company’s regular business operations, as deemed appropriate by the Board of Directors.
